1. Agreement to Terms

Welcome to Flopinio ("Flopinio," "we," "our," or "us"), a context-to-execution system for client work operated by DUMRAIT S.R.L., a company legally registered in the Republic of Moldova with registration number 1021600002558. Our public contact location is Chișinău, Moldova.

These Terms of Service ("Terms") govern your access to and use of Flopinio's website, product, billing flows, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of Service

Flopinio is a context-to-execution system for client work that may include:

• Request, project, task, and note management
• Time tracking, invoice sending, payment recording, reminders, and billing support
• Organization and client-work coordination
• Recurring workflow templates, observable AI-assisted workflows, approvals, and automation recommendations
• Connected integrations and operator/admin tooling

3. User Accounts and Registration

3.1 Account Creation

To use the Service, you must provide accurate, complete, and current information. You are responsible for safeguarding your credentials and for all activity that occurs under your account.

You may sign in with a local password or a supported OAuth provider. If your account is created or resumed through OAuth and does not yet have a user-chosen local password, we may require you to finish profile details and create a local password before full write access is enabled.

3.2 Account Responsibilities

• You must be at least 16 years old to create an account
• You must provide truthful and up-to-date information
• You are responsible for maintaining accurate profile information, account credentials, recovery methods, and workspace security
• You must notify us promptly about unauthorized use or security issues
• You may not use the Service in a way that violates these Terms or applicable law

Until required account setup is finished, some product actions may remain restricted even though you can still browse the authenticated workspace.

4. Acceptable Use

You may use Flopinio only for lawful business and operational purposes. You agree not to:

• Use the Service for unlawful, fraudulent, abusive, or deceptive conduct
• Attempt to bypass access controls, approvals, rate limits, or security safeguards
• Interfere with or disrupt the Service or other users' use of the Service
• Upload malware, malicious code, or harmful automated traffic
• Infringe intellectual property, privacy, or other legal rights
• Use the Service to store or process unlawful content

5. Subscription Plans and Billing

5.1 Plans

We may offer Free, Starter, Operator, System, Operator+, or other plans with different features, limits, availability, and billing terms. Current plan details are presented in the product or on the public site and may change over time.

5.2 Billing and Payment

• Subscription fees are billed in advance on the billing interval shown at checkout
• Paid subscriptions are processed through Paddle and related billing services
• You authorize us and our billing providers to charge the selected payment method for applicable fees and taxes
• Refunds are governed by our Refund Policy
• We may update pricing or packaging with reasonable notice

5.3 Trials and Promotions

We may offer free trials, credits, or promotional pricing. Additional promotional terms may apply and will control where they conflict with these Terms.

6. Data and Customer Content

6.1 Your Data

You retain ownership of the data, files, prompts, notes, billing records, and other content you upload to or create in the Service ("Your Data"). You grant us a limited right to host, process, transmit, and display Your Data solely to provide and secure the Service.

6.2 Privacy

Our handling of personal data is described in our Privacy Policy and Cookies Policy.

7. AI-Assisted Features

Flopinio may provide AI-assisted features such as triage, summaries, preparation flows, automation-triggered review, recurring-workflow context, or approvals support. These features are designed to assist users, not replace user accountability.

• AI outputs may be incomplete, inaccurate, or unsuitable for your use case
• You remain responsible for reviewing and approving important decisions or side effects
• We may use approved third-party model providers through our runtime adapter layer to deliver these features
• Sandbox demo invoice preview records simulated lifecycle events and payments without real charges

8. Intellectual Property

The Service, including our software, branding, visual design, documentation, and related materials, is owned by Flopinio or its licensors and is protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

9. Third-Party Services

The Service may rely on or integrate with third-party services, including payment providers, AI/model providers, hosting, communications, and external integrations.

Your use of third-party services may also be subject to those providers' own terms and privacy policies. This includes OAuth identity providers you use to sign in or link to your account. We are not responsible for third-party services outside our control.

10. Availability and Changes

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation.

We may modify, suspend, or discontinue part of the Service from time to time, including to improve functionality, maintain security, or comply with legal obligations.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access where necessary for security, legal compliance, non-payment, or violation of these Terms.

Upon termination, your right to use the Service ends immediately, subject to any legal retention obligations or post-termination access we expressly provide.

12. Disclaimers and Limitation of Liability

The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement except where such disclaimers are not allowed.

To the fullest extent permitted by law, Flopinio will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or for loss of data, profits, revenue, or goodwill arising from your use of the Service.

13. Indemnification

You agree to defend, indemnify, and hold harmless Flopinio, DUMRAIT S.R.L., and their officers, directors, employees, contractors, and agents from claims, liabilities, damages, and expenses arising from your use of the Service, Your Data, or your violation of these Terms or applicable law.

14. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Moldova, without regard to conflict-of-law principles.

Unless otherwise required by applicable law, disputes will be resolved in the competent courts of Chișinău, Moldova.

15. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date above and may provide additional notice through the Service or by email where appropriate. Your continued use of the Service after the updated Terms take effect constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
